1. Agreement, Definitions, and Eligibility
By accessing Sylica, you agree to these terms. If you use the service on behalf of an organization, you represent authority to bind that organization.
- Service means Sylica APIs, dashboard applications, and related operational features.
- Customer means the legal entity or individual accepting these terms.
- Workspace means the organizational environment where keys, billing, and usage are managed.
2. Account Registration and Key Security
- You are responsible for all activity performed with your API keys and workspace credentials.
- You must maintain accurate account details and secure authentication methods.
- Compromised keys must be rotated immediately through dashboard controls.
- You must promptly notify Sylica of suspected account compromise or unauthorized use.
3. Acceptable Use and Restricted Conduct
- No unlawful, deceptive, abusive, or harmful activity through the platform.
- No attempts to bypass limits, billing controls, authentication, or security safeguards.
- No unauthorized testing, scraping, reverse engineering, or exploitation of service internals.
- No use in violation of export controls, sanctions laws, or third-party model terms.
- No generation or distribution of content prohibited by applicable law.
4. Billing, Credits, and Taxes
Usage may be billed through prepaid credits and/or provider pass-through in BYOK mode. Prices, metering, and credit balances are presented in the dashboard and may change with notice according to applicable law.
- Customer is responsible for all charges incurred through its credentials and API keys.
- Taxes, duties, or regulatory fees are customer responsibility unless stated otherwise in writing.
- Credits are non-cash-value unless required by applicable law or written contract terms.
5. Third-Party Models and Dependencies
Sylica routes requests to third-party model providers selected by customer model choice and routing settings. Provider behavior, output quality, latency, and uptime may vary.
6. Service Availability and Change Management
Sylica may modify, deprecate, suspend, or restrict features to preserve security, reliability, legal compliance, or upstream-provider compatibility.
7. Intellectual Property and Feedback
- Sylica retains rights in its software, platform tooling, branding, and documentation.
- Customer retains rights in Customer Content subject to necessary service-processing rights.
- Feedback may be used by Sylica for product improvement without additional compensation.
8. Confidentiality
Each party must protect confidential information using reasonable safeguards and disclose it only as required for contractual performance or legal compliance.
9. Suspension and Termination
- Sylica may suspend access for security incidents, abuse risk, or non-payment.
- Either party may terminate as set out in the governing commercial agreement.
- Termination does not remove obligations accrued prior to effective termination date.
10. Warranty Disclaimer and Limitation of Liability
Except as required by law, services are provided on an as-is and as-available basis. Liability limits, exclusions, and warranty terms must be finalized in your master service agreement or order form.
11. Governing Law and Disputes
Governing law, venue, and dispute procedure should be specified in your order form or master agreement. If absent, default statutory rules may apply.
12. Indemnification
Customer agrees to defend and indemnify Sylica from third-party claims arising from unlawful customer use, policy violations, or customer content rights violations, to the extent permitted by law and contract.
13. Export Controls and Sanctions
Customer must not use the service in violation of export control, sanctions, or anti-boycott laws and must not provide access to prohibited persons or jurisdictions.
